Rachel’s practice focuses on mergers and acquisitions, as well as general corporate and commercial work. She has handled a wide range of transactions including mandatory general cash offers, open offer, acquisitions and disposals of companies, corporate restructuring and establishment of joint ventures. She has also advised on general compliance matters.

Rachel has provided legal advice to Hong Kong listed companies as well as private companies from Hong Kong, mainland China and other jurisdictions, from various sectors including consumer markets, industrial manufacturing, logistics, real estate, banking, chemicals and agriculture.

Rachel is admitted to practise in Hong Kong. She speaks fluent English, Cantonese and Mandarin.

Experience

  • Advised a renowned German company with the business of manufacturing electronic products in the establishment of a 51:49 joint venture company in Hong Kong.
  • Advised an established Hong Kong listed company on acquisition of a minority interest in a group which operates a chain of renowned restaurants in Hong Kong.
  • Advised an Australian company in the acquisition of further shares in a Hong Kong company with the business of sale and supply of organic beauty products (to become the majority shareholder thereof).
  • Advised a Hong Kong-listed company in the RMB 29.7 billion disposal by its subsidiary of a company indirectly holding landed properties in Shanghai; such disposal was also a connected transaction.
  • Advised a Hong Kong-listed company in the issue of the 5% secured convertible bonds in the principal amount of HK$150 million to a bank, and in the amendment and early redemption of the convertible bonds issued by such listed company.
  • Advised a foreign bank in a financing (as the lender) involving certain security documents, including (i) an assignment of an account of the borrower, (ii) an assignment of receivables of the borrower, and (iii) a debenture by way of first fixed charge over certain items and first floating charge over all the present and future assets of the borrower.
  • Advised a reputable educational organization on the application of tax exemption under section 88 of the Inland Revenue Ordinance; advised another reputable educational organization on the alteration of its object clause.
  • Advised a Japanese conglomerate in an intra-group reorganisation, including a transfer of logistic business, amalgamation and other pre-liquidation arrangements.
  • Provided Hong Kong legal support to a company with global electrical equipment business for an intra-group reorganisation with entities from multiple jurisdictions, involving capitalisation of loan and promissory note arrangements.
  • Advised a market leading provider of talent management and human resource services in relation to distribution of dividends and capital reduction of its Hong Kong companies for providing returns to shareholders.
