Philip specialises in banking and finance and possesses extensive experience advising both lenders and borrowers on a range of cross border and domestic acquisition, asset, real estate, development and project finance transactions. 

Philip’s experience also includes advising on structured finance and treasury related matters including forward flow funding transactions, invoice and receivables financing, intragroup financing arrangements, capital adequacy requirements, collateral arrangements, cash management and pooling documentation. He also regularly advises on brokerage, asset management, trading and custody documentation and issues relating to derivatives. 

Philip has a strong track record dealing with complex financing transactions in the energy sector (including in relation to renewable energy and energy transition projects) and financial institutions sector. He also regularly provides specialist advice on financing transactions for charities and pension fund trustees and employers on pensions related financing work.

Philip is admitted to practise in England and Wales.

Experience

  • Acting for an international energy and commodities company on the provision of funding and the acceptance of senior debt funding in relation to an investment in a South African cook stove carbon credit project.
  • Advising a significant national charity on its acceptance of a revolving credit facility, the entry into of private placement funding and other funding and investment management arrangements.
  • Acting for an Investor in relation to a substantial investment into a fund which focuses on reforestation in South America. Amounts of CO2 absorbed from reforestation activities will be certified as carbon removal credits in accordance with internationally recognised standards.
  • Acting for an Investor on the provision project finance funding in relation to a Battery Energy Storage System (BESS) project in the UK.
  • Advising a Swiss private bank on a significant number of funding transactions secured on commercial property and/or high value residential accommodation.
  • Advising a property developer on its acceptance of a range of banking facilities. The funding included receivables finance in relation to certain deferred payment contracts, development finance facilities and real estate investment facilities.
  • Acting for a private equity investor on a number of successful retail brand and hospitality related investments.
  • Advising a UK financial institution in relation to its forward flow funding agreements (over a 10 years period) with a number of funding providers to enable it to launch new product lines.
  • Acting for a global corporation on the establishment of a long term bespoke escrow account arrangement in relation to its ongoing contributions to fund its pension scheme.
  • Advising the trustee of a pension scheme on a complex cross border structured reinsurance transaction (and a subsequent extension to include new asset classes) relating to an annuity contract entered into by the trustee.
